The HoldCo sits above everything — insulating the operating business from property risk, enabling tax-efficient profit retention, and providing the legal foundation for group ownership.
The trading company generates the income. The SPV holds the property. The pension accumulates wealth in a tax-sheltered environment. Each entity is separate, ring-fenced and purposeful.
Without structure, success creates exposure. A profitable business with property assets and pension wealth — all held personally — is a large, unprotected IHT liability and a single point of failure.

When the pension and the property work together.
A Small Self-Administered Scheme (SSAS) is a trust-based occupational pension unique to business owners. Unlike a standard SIPP, a SSAS can lend money to the sponsoring employer — typically up to 50% of the fund value — and can directly hold commercial property.
This creates a powerful loop: the business pays pension contributions (tax-deductible), the SSAS lends back to the business (at commercial rates, with interest staying in the pension), and the SSAS acquires commercial property — potentially the premises the business operates from.
